Please read these Terms carefully before using ReferenceRabbit. By accessing or using our service, you agree to be bound by these Terms.

1. About ReferenceRabbit

ReferenceRabbit is an AI-powered reference checking service operated by John Amorosso ("we," "us," or "our"). Our platform allows employers, recruiters, and staffing firms ("Clients") to automate the professional reference checking process. References receive a unique code, call a designated number, and are interviewed by an AI agent. The Client receives a report, transcript, and call recording. ReferenceRabbit is accessible at referencerabbit.com.

2. Acceptance of Terms

By creating an account, purchasing a bundle or subscription, or otherwise using ReferenceRabbit, you ("Client" or "User") agree to these Terms and Conditions ("Terms") and our Privacy Policy. If you are using ReferenceRabbit on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use ReferenceRabbit.

3. Description of Service

ReferenceRabbit enables Clients to conduct structured reference interviews via an automated AI phone agent. The process works as follows: the Client provides a reference's contact information and a unique code; the reference calls in using that code; the AI agent conducts the interview; and the Client receives a written report, transcript, and audio recording within approximately 24 hours.

ReferenceRabbit is a reference gathering tool. It does not evaluate, score, or make recommendations about candidates. All employment decisions remain the sole responsibility of the Client.

4. Client Responsibilities

As a Client, you agree to:

Use ReferenceRabbit only for lawful professional reference checking purposes.
Obtain written authorization from the job candidate before conducting reference checks on their behalf, as required under the Fair Credit Reporting Act (FCRA) and applicable state laws where ReferenceRabbit may be considered a consumer report or background check tool.
Ensure that references are informed they are speaking with an AI system and that the call may be recorded, in compliance with all applicable consent and disclosure laws.
Comply with all applicable employment, privacy, and consumer protection laws, including but not limited to the FCRA, state mini-FCRA statutes, and any applicable call recording consent requirements.
Not use reference information collected through ReferenceRabbit in a manner that violates equal employment opportunity laws or any other applicable law.
Keep account credentials confidential and notify us immediately of unauthorized access.
Provide accurate billing and account information.

5. FCRA Notice

Depending on how ReferenceRabbit is used, it may qualify as a consumer reporting agency activity under the Fair Credit Reporting Act. We strongly recommend consulting qualified legal counsel to determine your compliance obligations before using ReferenceRabbit in connection with employment decisions. We make no representation that use of ReferenceRabbit automatically satisfies FCRA or any other legal compliance requirement.

6. Prohibited Uses

You may not use ReferenceRabbit to:

Conduct reference checks without the knowledge or authorization of the candidate.
Collect information about a person for any purpose other than legitimate employment reference checking.
Violate any applicable privacy, employment, or wiretapping law.
Harass, deceive, or mislead references or candidates.
Attempt to reverse-engineer, scrape, or replicate the ReferenceRabbit platform.
Share account access or unique reference codes with unauthorized parties.

7. AI-Generated Content Disclaimer

ReferenceRabbit uses artificial intelligence to conduct interviews and generate reports. You acknowledge that:

AI-generated transcripts, summaries, and reports may contain errors, omissions, or inaccuracies.
The AI agent may not capture nuance, tone, or context with the same accuracy as a human interviewer.
Reports are provided for informational purposes only and are not a substitute for your own judgment.
You are solely responsible for any employment decision made in reliance on a ReferenceRabbit report.

8. Call Recording and Consent

All reference calls conducted through ReferenceRabbit are recorded. It is the Client's sole responsibility to ensure that all required disclosures and consents are obtained from references prior to any call being initiated, including compliance with applicable federal and state call recording laws. We are not responsible for any failure to obtain required consents.

9. Pricing and Payment

ReferenceRabbit is available through single-check bundles and monthly subscriptions. By completing a purchase, you authorize us to charge your payment method at the applicable rate. Bundle checks are non-refundable once delivered. Subscription fees are billed in advance and are non-refundable except as required by law. Subscriptions renew automatically unless cancelled before the renewal date.

Unused bundle checks do not roll over or expire unless otherwise stated at the time of purchase.

10. Intellectual Property

All content, software, trademarks, and materials associated with ReferenceRabbit are the property of John Amorosso or his licensors. You are granted a limited, non-exclusive, non-transferable license to use the service for its intended purpose. You may not copy, modify, distribute, or create derivative works from any ReferenceRabbit materials without our express written consent.

11. Disclaimer of Warranties

REFERENCERABBIT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT AI-GENERATED REPORTS WILL BE ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JOHN LARSON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR COSTS ARISING FROM EMPLOYMENT DECISIONS MADE IN RELIANCE ON REFERENCERABBIT REPORTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE ONE (1) MONTH PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless John Amorosso and his agents and representatives from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or related to: (a) your use of ReferenceRabbit; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right, including any FCRA violation; or (d) any employment decision made in connection with the service.

14. Termination

We may suspend or terminate your access to ReferenceRabbit at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to others or to us. Upon termination, your right to use the service ceases immediately. Clients on subscription plans may cancel at any time through their account settings.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the date at the top of this page or by other reasonable means. Your continued use of ReferenceRabbit following any changes constitutes acceptance of the revised Terms.
